Terms of Service

Effective Date: August 17, 2026 - Gatherings LLC

The terms and conditions of this agreement (these "Terms of Service" or "Terms") govern your access to and use of the website located at https://gaytherings.com/ (the "Site"), as well as any related services, features, content, and functionality, including, without limitation, the ability to create, list, promote, discover, purchase, or attend events and to purchase or use event tickets (collectively, the "Services"). Each event listed, promoted, or made available through the Services is an "Event."

The Services are owned and operated by Gatherings LLC dba Gaytherings ("Gaytherings," "we," "us," or "our"). These Terms apply to all individuals who access or use the Services, including event organizers who create or manage Events ("Organizers") and individuals who browse, purchase, or attend Events ("Attendees") (collectively, "Users," "you," or "your").

THESE TERMS INCLUDE A MANDATORY AND BINDING INDIVIDUAL ARBITRATION PROVISION, A CLASS ACTION WAIVER, AND A WAIVER OF THE RIGHT TO A JURY TRIAL, WHICH AFFECT YOUR LEGAL RIGHTS. PLEASE REVIEW THESE PROVISIONS CAREFULLY. SECTION 30 EXPLAINS HOW YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS.

1. Acceptance

By accessing or using the Services, creating an account, purchasing tickets, submitting information through the Services, participating in any Event, or otherwise interacting with the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Your access to and use of the Services is conditioned on your compliance with these Terms. By using the Services on behalf of any company, organization, or other person, you represent and warrant that you have the authority to bind such entity to these Terms. By agreeing to these Terms, you also agree to the terms of our Privacy Policy, available at https://gaytherings.com/legal/privacy-policy (the "Privacy Policy").

Depending on how you use the Services, additional Gaytherings policies also apply and are incorporated into these Terms by reference, including our Event Terms and Conditions, Event Guidelines, Cookies Policy, Service Fees page, Tap to Pay Policy, Referral Program Terms, and, for Organizers, the Organizer Agreement and Global Data Processing Agreement, each available under https://gaytherings.com/legal/.

2. Updates to these Terms

We may modify these Terms from time to time by posting an updated version on the Services and updating the "Last Updated" date. We may also, at our discretion, provide notice of material changes by email or through the Services. You are responsible for reviewing these Terms periodically. Your continued use of the Services after any updated Terms become effective constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Services.

3. Eligibility

You must be at least 18 years old to access or use the Services. By accessing or using the Services, you represent and warrant that you are at least 18 years old. You may use the Services only in compliance with these Terms and all applicable laws, rules, and regulations. Certain Events may be subject to additional eligibility, age, invitation, membership, or jurisdictional requirements established by the applicable Organizer.

4. Our Services

The Services provide a platform that allows Users to discover, create, list, promote, and participate in Events based on location, preferences, invitations, memberships, and other criteria provided by Users or Organizers. The Services are designed primarily to support LGBTQ+ communities, nightlife, social experiences, and related Events, but may include a variety of Event types, communities, and experiences. Events available through the Services may include:

  • Organizer Events: Events created, managed, and promoted directly by Organizers through the Services;

  • Membership Events: Invite-only, application-based, membership-based, or otherwise restricted-access Events made available through the Services or related integrations; and

  • Third-Party Events: Events, listings, or promotional content that may be displayed, aggregated, embedded, or referenced through the Services but are operated by third parties outside the Services.

Events listed on the Services may include content or themes that are adult-oriented or otherwise sensitive in nature. Certain categories of content, including sexually explicit content, are prohibited on the Services as described in our Event Guidelines, available at https://gaytherings.com/legal/event-guidelines. Gaytherings does not review, verify, or guarantee the accuracy, legality, quality, safety, suitability, or availability of any Event or Organizer and does not endorse any Event listed on the Services. All Events, including their descriptions, content, requirements, eligibility criteria, and conduct, are determined solely by the applicable Organizer or third party and must comply with these Terms and our Event Guidelines.

Organizers may use the Services to create, manage, and market Events, and Attendees may browse, apply for access to, purchase tickets for, and attend Events. Gaytherings may provide tools and integrations, including payment processing services through third-party providers, invitation workflows, Membership Event functionality, and embedded widgets, to facilitate interactions and transactions between Users. Users are responsible for evaluating whether an Event is appropriate for them and for complying with all applicable laws and requirements related to their participation in or organization of any Event. All interactions between Users are between those Users, and you use the Services at your own risk.

The Services may display, organize, and rank Events using a variety of factors, including, without limitation, location, timing, relevance, user preferences, Organizer activity, and other criteria determined by us. Event rankings and results may be personalized based on your activity, preferences, or interactions with the Services.

Certain Events may receive increased visibility through promotional features ("Promoted Events"). Promoted Events may be displayed more prominently than other Events in search results, listings, or other areas of the Services. Promoted Events may be paid placements and are part of our advertising and promotional offerings. You acknowledge and agree that the display, ranking, and visibility of Events are determined by us in our discretion and may change at any time. Promoted Events are not endorsements or recommendations by us. Promoted Events may be identified on the Services through labels or other indicators (such as "Promoted" or similar designations) to distinguish them from other Events.

5. Services Disclaimers

The Services involve third-party content, Events, and interactions between Users that are outside of Gaytherings' control. The following disclaimers apply specifically to the nature of the Services and your use of them. Without limiting any other disclaimers in these Terms, you acknowledge and agree that:

  • Platform Role: Gaytherings provides the Services as a technology platform that facilitates connections between Organizers and Attendees. Gaytherings does not create, host, organize, control, or operate any Events and acts solely as a provider of the platform that facilitates connections and transactions between Organizers and Attendees. Gaytherings is not the venue operator, sponsor, agent, or representative of any Event.

  • Availability: The Services may be unavailable, interrupted, delayed, or error-prone from time to time, and Gaytherings does not guarantee continuous or uninterrupted access or that any defects will be corrected.

  • No Reliance on Features: Gaytherings may modify, suspend, or discontinue any part of the Services at any time, and you agree not to rely on the continued availability of any feature or functionality.

  • Sensitive or Adult-Oriented Content: The Services may include Events or content that are adult-oriented or otherwise sensitive, subject to the restrictions in our Event Guidelines. You are responsible for determining whether such content is appropriate for you.

  • Third-Party Content: All Events, listings, descriptions, media (including, without limitation, images, posters, and other content), and other information are provided by Organizers or other third parties. Gaytherings does not control, verify, or guarantee the accuracy, completeness, or reliability of any such content.

  • No Screening or Verification: Other than identity and payout verification that Organizers complete through our third-party Payment Processor in order to receive payouts, Gaytherings does not screen, background-check, or otherwise verify Organizers, Attendees, or Events, including the legality or completeness of any information provided on or through the Services. Completion of payment verification is not an endorsement of any Organizer or a guarantee of any Event.

  • No Endorsement: Gaytherings does not endorse, recommend, verify, or guarantee any Organizer, Event, or third-party content. Any search results, filters, promoted listings, sponsored content, or other visibility or display features may be based on user inputs, preferences, automated processes, commercial relationships, paid promotions, or other factors determined by Gaytherings in its discretion and do not constitute a recommendation, verification, or endorsement by Gaytherings.

  • Assumption of Risk: Your participation in any Event, including any interactions with Organizers or other Attendees, is at your own risk. We are not responsible for any conduct, acts, or omissions of any User, whether online or offline.

  • No Responsibility for Events: Gaytherings is not responsible or liable for any Event, including, without limitation, the content, safety, legality, quality, timing, cancellation, or execution of any Event, or for any injuries, damages, losses, or claims arising out of or related to any Event or attendance at an Event.

  • No Affiliation: Organizers are independent third parties and are not employees, agents, partners, or representatives of Gaytherings.

  • No Jurisdictional Verification: Gaytherings does not review, verify, or determine whether any Event complies with the laws, regulations, or requirements of any jurisdiction. You are responsible for ensuring that your participation in any Event, or your organization of any Event, complies with all applicable laws in the relevant jurisdiction.

  • Membership and Invitation Decisions: Gaytherings is not responsible for any Organizer's membership criteria, application review process, invitation decisions, approvals, denials, removals, or other access-control decisions relating to Membership Events.

You are responsible for conducting your own due diligence before purchasing tickets to or attending any Event, and for determining whether an Event is appropriate, lawful, and safe for you.

6. Access to the Services

You may access and use the Services only for their intended purpose and according to these Terms. You are responsible for your use of the Services, including your compliance with these Terms and all applicable laws, and for any activity that occurs under your account or through your access credentials, whether or not authorized by you.

Subject to these Terms, Gaytherings grants you a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for personal, non-commercial purposes. If you are an Organizer, you may use the Services for commercial purposes to create, promote, and manage Events in accordance with these Terms and our Organizer Agreement available at https://gaytherings.com/legal/organizer-agreement.

All rights not expressly granted to you are reserved by Gaytherings and its licensors. Gaytherings may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if you violate these Terms or if Gaytherings determines, in its discretion, that your use of the Services may create risk, harm, or legal exposure.

7. Mobile Application

If you download, install, access, or use any mobile application or other software made available by Gaytherings, including the Gaytherings Organizer app used for Event check-in and in-person sales (collectively, the "Mobile Apps"), Gaytherings grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use one copy of the applicable Mobile App solely for your personal or internal business use in connection with the Services and in accordance with these Terms.

The Mobile Apps are licensed, not sold, and are provided on an "as is" and "as available" basis without warranties of any kind, except to the extent warranties cannot be disclaimed under applicable law. Gaytherings may provide updates, upgrades, bug fixes, patches, modifications, maintenance, support, or other enhancements to the Mobile Apps at any time and in its discretion, and may discontinue support for any Mobile App or device at any time.

You acknowledge that these Terms are between you and Gaytherings only, and not with Apple Inc., Google LLC, or any other application marketplace or distribution provider (each, an "App Distributor"). Gaytherings, and not any App Distributor, is solely responsible for the Mobile Apps and the Services made available through the Mobile Apps.

The license granted for any Mobile App is limited to use on devices that you own or control and that are compatible with the applicable operating system and App Distributor requirements. Your use of any Mobile App must comply with the applicable App Distributor's usage rules, terms, and policies. To the maximum extent permitted by applicable law:

  • Gaytherings is responsible for providing any maintenance and support services relating to the Mobile Apps, if any, and no App Distributor has any obligation to provide maintenance, support, or other services for the Mobile Apps;

  • Gaytherings is solely responsible for any claims relating to the Mobile Apps or your use of the Services through the Mobile Apps, including claims relating to product liability, consumer protection, legal or regulatory compliance, or alleged infringement of third-party intellectual property rights; and

  • App Distributors are not responsible for investigating, defending, settling, or discharging any claim relating to the Mobile Apps or the Services.

If any Mobile App fails to conform to any applicable warranty that cannot be effectively disclaimed under applicable law, you may notify the applicable App Distributor, and the App Distributor may refund the purchase price, if any, paid for the applicable Mobile App in accordance with its policies. To the maximum extent permitted by applicable law, the App Distributor will have no other warranty or liability obligations relating to the Mobile Apps.

You acknowledge and agree that each App Distributor, and its subsidiaries, are third-party beneficiaries of these Terms with respect to the applicable Mobile Apps and may enforce these Terms against you as a third-party beneficiary.

8. Account Creation

To access certain features of the Services, you may be required to create an account. Accounts are created and accessed using email-based sign-in, including one-time passcodes sent to your email address. When creating an account, you agree to provide accurate and complete information to the extent requested and to keep such information reasonably up to date. You may choose a username or display name for your account. You acknowledge that usernames may be visible to other Users and that Gaytherings does not verify Users' identities or the accuracy of any username or profile information. You are responsible for the name and information you choose to display and for any consequences arising from your use of a pseudonym, anonymous identity, or misleading information. In creating your account, you may not impersonate any person or entity or misrepresent your identity or affiliation in a manner that is misleading, fraudulent, or unlawful.

You must take reasonable steps to protect your account credentials, including the email account to which your sign-in codes are delivered, and will not share access with others in a manner that could compromise account security. You agree to notify Gaytherings promptly of any unauthorized access to or use of your account or any other security breach.

User accounts are personal to you, and you must not use another User's account without permission or attempt to gain unauthorized access to any account or system. You are fully responsible for all actions taken under your account, including any interactions with other Users or participation in Events.

Gaytherings reserves the right to suspend, restrict, or terminate any account at any time, with or without notice, if it believes that the account violates these Terms or may create risk, harm, or legal exposure.

9. User-Generated Content

The Services may allow you to create, submit, and share content, including, without limitation, Events, Event descriptions, images, messages, and other materials (collectively, "User-Generated Content"). User-Generated Content may be visible to other Users and will be treated as non-confidential. You are responsible for your User-Generated Content, including its accuracy, quality, legality, and appropriateness, and for ensuring that it does not violate these Terms or any applicable law.

By submitting or making User-Generated Content available through the Services, you grant Gaytherings an unrestricted, irrevocable, perpetual, non-exclusive, transferable, sublicensable, royalty-free, fully paid, worldwide license to host, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display User-Generated Content for any legitimate business purpose, including operating, improving, promoting, and providing the Services. You represent and warrant that you have all rights, licenses, and permissions necessary to submit your User-Generated Content and to grant the rights described above, and that your User-Generated Content does not infringe, misappropriate, or otherwise violate any third-party rights, including intellectual property, privacy, or publicity rights.

10. Prohibited Content

You agree not to create, upload, post, share, or otherwise transmit any User-Generated Content that violates our Event Guidelines (https://gaytherings.com/legal/event-guidelines) or that:

  • Infringes or misappropriates any intellectual property or proprietary rights of any third party.

  • Is false, misleading, or deceptive, including misrepresenting an Event, Organizer, or affiliation with any person or entity.

  • Violates any person's privacy or publicity rights, including, without limitation, posting images or information about another person without appropriate consent.

  • Promotes, facilitates, or relates to any unlawful activity, including, without limitation, illegal drug use, illegal gambling, or any activity that is not permitted in the jurisdiction where the Event occurs.

  • Advertises or promotes any Event that is unlawful, improperly permitted, or otherwise non-compliant with applicable laws or regulations.

  • Contains or promotes violence, threats, harassment, abuse, exploitation, or harm to any person or animal.

  • Promotes or facilitates the unlawful use, possession, or distribution of weapons or firearms.

  • Is obscene, sexually explicit, defamatory, libelous, hateful, discriminatory, or otherwise objectionable, including content that incites or promotes discrimination, hostility, or violence.

  • Constitutes unauthorized advertising, spam, or any form of solicitation not expressly permitted by the Services.

  • Includes raffles, sweepstakes, giveaways, or commercial promotions that are not authorized by Gaytherings.

  • Interferes with, disrupts, or attempts to misuse the Services or other Users' ability to use the Services.

Gaytherings may, but is not obligated to, review, monitor, remove, or restrict access to any User-Generated Content at any time and for any reason, including if it violates these Terms, the Event Guidelines, or may create risk, harm, or legal exposure. Gaytherings may take such action without notice and without any liability to you. Where we remove an Event or restrict an account, notice and appeal procedures are described in our Event Guidelines.

11. User Privacy

Your privacy is important to us. Our Privacy Policy (https://gaytherings.com/legal/privacy-policy) describes how we collect, use, store, and disclose Personal Information. By using the Services, you acknowledge and agree to the practices described in the Privacy Policy, which is incorporated into these Terms by reference. For purposes of these Terms, "Personal Information" means information that identifies, relates to, or can reasonably be linked to an identifiable individual.


You understand that the Services are designed to allow Users to create, share, and participate in Events and related content, and that certain information you provide, including usernames, profile details, Event content, and interactions with other Users, may be visible to others. You are responsible for the information you choose to share and for determining whether and how to participate in the Services in a manner that protects your privacy. If you wish to maintain anonymity or privacy, you should carefully consider the information you choose to share and how you interact with other Users.

Gaytherings does not verify the identity of Users and does not control how other Users may access, use, or share information made available through the Services. You acknowledge that other Users may retain, copy, or redistribute information you share, and that Gaytherings is not responsible for such actions.

We use commercially reasonable administrative, technical, and physical safeguards designed to protect the security, confidentiality, and integrity of your Personal Information. However, you acknowledge that no method of transmission over the internet or electronic storage is completely secure, and that the use of the Services involves inherent risks of unauthorized access, disclosure, or exposure. By using the Services, you accept these risks.

Without limiting our Privacy Policy, you agree that Gaytherings may disclose your Personal Information as necessary to: (i) comply with applicable law, regulation, legal process, or governmental request; (ii) enforce these Terms; (iii) investigate or respond to claims, disputes, or suspected violations of rights; or (iv) protect the rights, property, or safety of Gaytherings, its Users, or the public.

12. Location-Based Features

The Services may use location-based functionality to display Events that are relevant to your geographic area. This may include using information such as your device location, IP address, or other location data. You acknowledge that location-based results may be approximate and may not reflect your precise location. Gaytherings does not guarantee the accuracy or completeness of any location-based results. You may be able to control the use of certain location data through your device settings.

13. User Conduct

In using the Services, you must comply with all applicable laws, including, without limitation, intellectual property, non-discrimination, privacy, and data security laws, and you may not use the Services in any manner that harms, infringes, or violates the rights of any person or entity. Without limiting the foregoing, you agree that you will not:

  • Reproduce, copy, distribute, sell, lease, resell, or otherwise exploit any portion of the Services.

  • Use the Services in any manner that is inconsistent with these Terms or that may create risk, harm, or legal exposure for Gaytherings or its Users.

  • Use the Services to provide service bureau, time-sharing, hosting, or similar services to third parties, or to build or support a competing product or service.

  • Access, tamper with, or use non-public areas of the Services; disrupt or interfere with the Services, servers, or networks; or attempt to bypass any security or authentication measures.

  • Upload or transmit viruses, malware, or any code intended to disrupt, damage, or interfere with the Services or any system or data.

  • Use any robot, scraper, crawler, or automated means to access or interact with the Services.

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Services.

  • Impersonate any person or entity or misrepresent your identity, affiliation, or authority.

  • Infringe, misappropriate, or otherwise violate any intellectual property or other rights of any person or entity.

  • Use the Services to promote or engage in unlawful discrimination, harassment, abuse, or harmful conduct toward any individual or group.

  • Interfere with or disrupt any other User's access to or enjoyment of the Services.

  • Share or disclose non-public features or content of the Services or remove or alter any proprietary notices, including copyright or watermark information.

  • Frame, mirror, or otherwise link to the Services in a manner not expressly permitted.

  • Reproduce, transfer, resell, or manipulate tickets outside of the Services, including using automated tools to purchase tickets, exceeding ticket limits, or using invalid, duplicated, refunded, or fraudulent tickets.

  • Reproduce, republish, syndicate, aggregate, distribute, or publicly display any Event listings, Organizer Content, or other content obtained through the Services on any third-party website, application, platform, publication, or service.

14. Purchase of Tickets

Tickets, Membership Events, donations, promotional features, subscriptions, and other transactions conducted through the Services may be subject to Event Prices, Service Fees, Payment Processing Fees, Taxes, and other applicable charges (collectively, "Charges") as described in our Event Terms and Conditions, available at https://gaytherings.com/legal/event-terms-and-conditions, our Service Fees page, available at https://gaytherings.com/legal/service-fees, and any applicable Organizer-Specific Terms.

All Charges applicable to a transaction will be presented before completion of the transaction. By completing a transaction through the Services, you agree to pay all applicable Charges and agree to the Event Terms and Conditions and any applicable Organizer-Specific Terms in effect at the time of the transaction. Refunds, cancellations, credits, exchanges, chargebacks, payment disputes, taxes, and other transaction-related matters are governed by the Event Terms and Conditions and any applicable Organizer-Specific Terms, including the refund policy published for the applicable Event. Except as otherwise required by applicable law or expressly stated in the Event Terms and Conditions or applicable Organizer-Specific Terms, all Charges are non-refundable.

15. Membership and Invite-Only Events

Certain Services may allow Organizers to create invite-only Events, application-based Events, membership-based Events, waitlists, invitation workflows, or similar gated-access Events ("Membership Events"). Where enabled, Membership Events may allow Organizers to:

  • request information, applications, or other submissions from Users;

  • approve, deny, revoke, or restrict access to Events;

  • issue invitation codes or direct invitations to Users; and

  • permit approved Users to purchase tickets or access Events through the Services.

Organizers are responsible for all membership criteria, application review processes, invitation decisions, approvals, denials, removals, and related communications relating to Membership Events. Gaytherings does not endorse, verify, review, or approve any Organizer's membership standards or access-control decisions and is not responsible for any decision to approve, deny, revoke, or restrict access to any Membership Event.

Participation in Membership Events is voluntary. Information submitted in connection with Membership Events may be shared with the applicable Organizer and processed according to our Privacy Policy and any applicable agreements between Gaytherings and the Organizer.

Gaytherings reserves the right to modify, suspend, restrict, or discontinue any Membership Events or related functionality at any time and does not guarantee the continued availability of any Membership Event or related functionality.

16. Third-Party Events

The Services may display, list, or promote Events that are not sold through the Services ("Third-Party Events"). These Third-Party Events may be sourced from publicly available information or provided by third parties. Gaytherings is not the organizer, promoter, sponsor, or operator of any Third-Party Event and does not control or verify the accuracy, completeness, legality, availability, or performance of any Third-Party Event. Inclusion of a Third-Party Event on the Services does not constitute an endorsement, approval, or recommendation by Gaytherings.

Your interaction with any Third-Party Event, including your attendance, purchase of tickets, or reliance on any information provided, is at your own risk. Any disputes or issues related to a Third-Party Event must be resolved directly with the applicable third-party organizer.

If you are an organizer or authorized representative of an Event listed on the Services and would like to request removal or modification of such Event, please contact us at support@gaytherings.com with sufficient information to verify your identity and your authority over the Event. We will review and process such requests in our discretion.

17. Non-Circumvention and Unauthorized Publishing

You may not use the Services to identify, contact, solicit, transact with, republish, redistribute, or redirect Users, Organizers, or Events for the purpose of avoiding, bypassing, or circumventing the Services, applicable Fees, Membership Event functionality, invitation workflows, ticketing systems, or any other functionality or business model of Gaytherings. Without limiting the foregoing, you may not:

  • use information obtained through the Services to complete transactions outside of the Services that would otherwise reasonably be expected to occur through the Services;

  • direct or encourage Users to purchase tickets, apply for Events, submit payments, or communicate outside of the Services for the purpose of avoiding Fees or platform functionality;

  • reproduce, republish, aggregate, syndicate, distribute, or publicly display Events, Membership Events, Organizer Content, or other content discovered or obtained through the Services on any third-party website, application, platform, publication, or service without authorization from Gaytherings or the applicable Organizer;

  • use the Services to contact Organizers for the purpose of reposting, aggregating, redistributing, mirroring, or otherwise republishing Events or related content outside of the Services without authorization; or

  • interfere with, bypass, or attempt to bypass any payment, invitation, access-control, membership, or transaction processes made available through the Services.

Gaytherings reserves the right to suspend or terminate access to the Services for any violation of this Section.

18. Suspension and Termination

Gaytherings may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if, in its discretion, your use of the Services violates these Terms or applicable law, or may create risk, harm, or legal exposure for Gaytherings or any User. Upon suspension or termination, you must immediately stop accessing and using the Services. Suspension or termination of your account does not affect any rights or obligations between you and any Organizer, including with respect to any Event tickets you have purchased, which remain subject to the applicable Organizer's terms.

Suspension or termination may result in the removal or deletion of your account, User-Generated Content, and associated information. You acknowledge that Gaytherings is not responsible for any loss of such content or information. Gaytherings may retain your Personal Information and other account-related data as necessary to enforce these Terms, comply with applicable law, maintain records of transactions (including Event ticket purchases), and for other legitimate business purposes, including fraud prevention and dispute resolution, unless prohibited by applicable law.

Gaytherings' rights under this section are in addition to any other rights or remedies available under these Terms or at law.

19. Organizer Content

Certain content made available through the Services is provided by Organizers, including Event descriptions, images, and related materials ("Organizer Content"). Organizer Content is owned by the applicable Organizer or its licensors and not by Gaytherings. Gaytherings does not create, control, verify, or endorse Organizer Content and is not responsible for its accuracy, legality, or quality. Organizer Content is provided for informational purposes only, and your reliance on such content is at your own risk. Organizers are solely responsible for their Organizer Content, including ensuring that such content complies with applicable law and does not infringe the rights of any third party.

Gaytherings does not pre-screen Organizer Content and has no obligation to monitor or review such content. If you believe that any Organizer Content infringes your intellectual property or other rights, you should follow the procedures set forth in the DMCA Notice section below.

20. Reservation of Rights

You acknowledge that the Services, including all content, features, functionality, trademarks, service marks, names, logos, and other materials provided by Gaytherings (collectively, "Gaytherings IP"), are owned by or licensed to Gaytherings and are protected by applicable intellectual property and other laws. Except for the limited rights expressly granted in these Terms, nothing in these Terms grants you any right, title, or interest in or to the Gaytherings IP. You may not reproduce, copy, modify, distribute, license, sell, transfer, publicly display, publicly perform, or otherwise use or exploit any Gaytherings IP without our prior written consent. All rights not expressly granted are reserved by Gaytherings.

21. Feedback

You may provide Gaytherings with suggestions, comments, reviews, ideas, or other feedback related to the Services (collectively, "Feedback"). You agree that any Feedback you provide is voluntary and will not be considered confidential or proprietary. By providing Feedback, you grant Gaytherings a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free, fully paid license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and otherwise use such Feedback for any purpose, including improving and developing the Services, without compensation or attribution to you.

22. DMCA Notice

Gaytherings respects the intellectual property rights of others and will respond to notices of alleged copyright infringement according to the Digital Millennium Copyright Act ("DMCA"). Upon receiving a valid notice, Gaytherings may remove or disable access to the allegedly infringing material and may terminate access for repeat infringers. If you believe that content on the Services infringes your copyright, you may submit a notice to our designated Copyright Agent at support@gaytherings.com that includes:


  • A description of the copyrighted work claimed to have been infringed;

  • A description of where the allegedly infringing material is located on the Services;

  • Your name, mailing address, telephone number, and email address;

  • A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law;

  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and

  • Your electronic or physical signature.

Gaytherings may request additional information before taking action on any notice. If we remove or disable access to content, we may notify the User who posted the material and may provide them with your contact information so they can respond.

23. Parental Controls

The Services are intended only for individuals who are at least 18 years old. Gaytherings does not knowingly collect information from or permit access to the Services by individuals under 18. Gaytherings does not implement or guarantee the effectiveness of any technological measures to restrict access by minors and does not monitor or control access to the Services by any User. Parents and guardians are responsible for supervising and controlling access to the Services by minors and for determining what content is appropriate for their children.

The Services may include content or Events that are adult-oriented or otherwise not suitable for minors. If you are a parent or guardian, you should use available tools, including device-level parental controls, third-party filtering software, and supervision, to restrict access to content you consider inappropriate.

Gaytherings is not responsible for any access to or use of the Services by minors, including any access resulting from a failure to implement parental controls.

24. Third-Party Content and Services

The Services may include or provide access to content, links, advertisements, applications, services, or tools provided by third parties that are not owned or controlled by Gaytherings (collectively, "Third-Party Content"), including, without limitation, payment processors (such as Stripe) and mapping services (such as Google Maps).

Gaytherings does not control, endorse, verify, or assume any responsibility for any Third-Party Content. Your access to and use of any Third-Party Content is at your own risk and is subject to the terms and policies of the applicable third-party provider. Gaytherings is not responsible for the availability, performance, accuracy, or functionality of any Third-Party Content, or for any loss, damage, or liability arising from your use of or reliance on such Third-Party Content, including any interactions between you and any third party.

25. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Gaytherings and its officers, directors, shareholders, employees, agents, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your access to or use of the Services, including any use that is unlawful, fraudulent, abusive, or otherwise in violation of these Terms or applicable law; (ii) your interactions with any other Users or Organizers, including your participation in or attendance at any Event; (iii) your User-Generated Content or any content you submit, post, or share through the Services; or (iv) your violation of any third-party rights, including, without limitation, intellectual property, privacy, or publicity rights. Gaytherings reserves the right, at its option, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with such defense. You may not settle any claim without Gaytherings' prior written consent. You further agree to reimburse the Indemnified Parties for any costs and expenses incurred in responding to any legal process, including subpoenas, court orders, or governmental requests, related to your use of the Services or your account.

26. Assumption of the Risk

You acknowledge that Gaytherings does not create, host, organize, or control any Events and that all Events are independently organized and operated by third-party Organizers. Gaytherings does not verify whether any Event complies with applicable laws, regulations, permits, or licensing requirements.

You further acknowledge that participation in or attendance at any Event involves inherent and significant risks, including, without limitation, risks of personal injury, illness, death, property damage, or other harm, and that you voluntarily assume all such risks. You are solely responsible for evaluating the suitability, legality, and safety of any Event and for complying with all applicable laws and requirements related to your participation.

You acknowledge that Events may be accessible across multiple jurisdictions and that laws and standards may vary by location. You are solely responsible for determining whether your participation in any Event is lawful in your jurisdiction and in the jurisdiction where the Event occurs.

To the maximum extent permitted by law, Gaytherings is not responsible for the legality, safety, quality, or conduct of any Event, Organizer, or Attendee, and will not be liable for any injuries, damages, losses, or claims arising out of or related to your participation in or attendance at any Event, including any interactions with other Users, whether occurring before, during, or after the Event.

27. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAYTHERINGS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. GAYTHERINGS DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. GAYTHERINGS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ANY EVENTS, ORGANIZERS, ATTENDEES, OR USER-GENERATED CONTENT AVAILABLE THROUGH THE SERVICES, INCLUDING, WITHOUT LIMITATION, THE ACCURACY, LEGALITY, SAFETY, QUALITY, OR SUITABILITY OF ANY EVENT OR CONTENT. ANY INFORMATION OR CONTENT PROVIDED THROUGH THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL OR OTHER ADVICE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAYTHERINGS IS NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE, LOSS OF DATA, OR OTHER HARM RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES OR ANY CONTENT AVAILABLE THROUGH THE SERVICES.

28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAYTHERINGS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF GAYTHERINGS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAYTHERINGS WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATING TO: (I) ANY EVENT, INCLUDING, WITHOUT LIMITATION, THE CONTENT, LEGALITY, SAFETY, OR CONDUCT OF ANY EVENT OR PARTICIPANT; (II) ANY INTERACTIONS BETWEEN USERS, WHETHER ONLINE OR OFFLINE; (III) ANY USER-GENERATED CONTENT OR THIRD-PARTY CONTENT; (IV) ANY LOST, STOLEN, INVALID, OR UNUSED TICKETS, OR THE FAILURE OF ANY ORGANIZER OR VENUE TO HONOR A TICKET; OR (V) ANY PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER HARM, INCLUDING DEATH, ARISING FROM OR RELATED TO YOUR ATTENDANCE AT OR PARTICIPATION IN ANY EVENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAYTHERINGS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) TEN DOLLARS ($10); OR (B) THE TOTAL SERVICE FEES PAID BY YOU TO GAYTHERINGS FOR THE EVENT GIVING RISE TO THE CLAIM. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES.

ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE BROUGHT WITHIN ONE YEAR AFTER THE EVENT GIVING RISE TO THE CLAIM, OR IT WILL BE PERMANENTLY BARRED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

29. Release

If you have a dispute with one or more Users or Organizers, you agree to release Gaytherings and its officers, directors, employees, agents, affiliates, subsidiaries, and joint venture partners from any and all claims, demands, and damages (whether direct or indirect, known or unknown, suspected or unsuspected) arising out of or in any way connected with such disputes. To the maximum extent permitted by applicable law, you expressly waive any rights under California Civil Code §1542 and any similar law, rule, or doctrine in any jurisdiction that would limit the scope of this release. California Civil Code §1542 provides:

"A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

30. Dispute Resolution

Disputes with other Users. If you have a dispute with an Organizer or another User, you should contact that party directly. Gaytherings may, but is not obligated to, facilitate communication between Users, but Gaytherings is not a party to any dispute between Users and has no obligation to resolve or participate in such disputes. If you believe that an Organizer or User has violated these Terms, the Event Guidelines, or applicable law, you may report such conduct using the "Report Event or Organizer" option at the bottom of the Event page, or by email to us at support@gaytherings.com. While we are not responsible for resolving disputes between Users, we may review reported conduct and take action in our discretion, including removing content, suspending accounts, or terminating access to the Services. Gaytherings is not obligated to investigate, mediate, or resolve any dispute or reported issue and makes no representations regarding whether any action will be taken.

Informal resolution. If you have a dispute with Gaytherings, you agree to first contact us at support@gaytherings.com and attempt to resolve the dispute informally for at least 30 days before initiating any legal proceeding.

Arbitration. If the dispute cannot be resolved informally, you and Gaytherings agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including the breach, termination, enforcement, interpretation, or validity thereof, will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will be conducted by a single arbitrator in Los Angeles, California, unless otherwise agreed by the parties; for consumer disputes, the arbitrator may conduct proceedings by videoconference or telephone where the AAA's rules allow. The arbitration will be governed by the Federal Arbitration Act. Each party will bear its own attorneys' fees and costs unless otherwise determined by the arbitrator or required by applicable law. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Your right to opt out of arbitration. You may reject this arbitration provision by sending an email to support@gaytherings.com within 30 days after the date you first accept these Terms (or, if these Terms are updated to add this provision, within 30 days after the update takes effect for you). Your email must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, neither party will be required to arbitrate, and disputes will be resolved in court as described in Section 31. Opting out of arbitration does not affect any other provision of these Terms.

Class action waiver. To the maximum extent permitted by applicable law, all claims must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding. The arbitrator may not consolidate more than one person's claims unless all parties agree.

BY AGREEING TO THESE TERMS, AND UNLESS YOU OPT OUT AS DESCRIBED ABOVE, YOU AND GAYTHERINGS EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

31. Governing Law

These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. Any dispute that is not subject to arbitration or eligible for small claims court will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and the parties consent to the personal jurisdiction of those courts.

32. Entire Agreement

These Terms, together with any terms, policies, or agreements incorporated by reference, constitute the entire agreement between you and Gaytherings regarding the Services and supersede all prior or contemporaneous understandings.

33. Assignment

You may not assign or transfer these Terms or any of your rights or obligations without our prior written consent. Gaytherings may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

34. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

35. Force Majeure

Gaytherings will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, without limitation, acts of God, natural disasters, government actions, labor disputes, or failures of third-party services.

36. No Waiver

Any failure by Gaytherings to enforce any provision of these Terms or exercise any right or remedy will not constitute a waiver of that provision, right, or remedy. Any waiver will apply only to the specific instance for which it is given and will not be deemed a continuing waiver.

37. Notices; Electronic Communication

By providing your email address, you consent to receive communications from Gaytherings electronically, including notices, agreements, and disclosures. You agree that such electronic communications satisfy any legal requirement that communications be in writing.

38. Survival

Provisions that by their nature should survive termination will survive, including, without limitation, those relating to payments, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.
